Business banking in Dubai: what an LLC is not owed
The UAE has a detailed consumer protection regime for financial services, in force since 25 December 2020. It covers natural persons and sole proprietorships, and it states in terms that a sole proprietorship is not a limited liability company. Incorporating an LLC therefore moves the banking relationship out of that regime and into contract — which is the single most useful thing to know before the first meeting, and the thing no setup brochure mentions.
Where the protective line actually falls
The Consumer Protection Regulation C 8/2020 was issued by the Central Bank under Article 121 of Decretal Federal Law No. 14 of 2018. It applies to all licensed financial institutions in their provision of financial products and services to consumers that are natural persons and sole proprietorships. A "consumer", in its own definition, is any natural person or sole proprietor obtaining financial services to satisfy their own or others' needs.
And the regulation defines a sole proprietorship as an entity owned and operated by a natural person who controls operations and profits and bears personal unlimited liability — adding, for clarity, that it is not a limited liability company. The protection and the unlimited liability travel together. Limited liability is bought with the protection, which is a trade most founders make without ever being told it is one.
What that means in the room
For an incorporated company, the terms of the account are the terms of the contract the bank offers. Fee changes, notice periods, complaint handling and disclosure standards that a regulated consumer could point to are, for an LLC, whatever the agreement says. This is not a warning that banks behave badly; it is a statement about where to look when something goes wrong. The answer is the mandate and the schedule of charges, and they are worth reading at signing rather than at dispute.
When the Central Bank is in the setup path itself
Most companies meet the Central Bank only as their bank's regulator. Companies whose own activity is financial meet it earlier: financial institutions, banks, money exchanges, insurance companies and insurance agents need Central Bank approval as one of the additional government approvals in the licensing sequence, before the economic department issues anything. That approval sits on top of the nine-step route, not inside it, and it is the step that sets the timeline.
Nothing here is a comment on how long an account takes to open. That figure moves by bank, by activity and by quarter, and any number published in advance is somebody's average rather than your answer. Ask the bank, in writing, and hold the written answer.
Before the first appointment
- The trade licence and the attested Memorandum of Association, which the licensing route has already produced.
- A registered physical address — Ejari in Dubai — because the bank will ask for the same lease the economic department did.
- Clarity on which activities on the licence the account will actually be used for.
- The company's credit file, which is a separate question and is on the financing page.
Does the UAE consumer protection regime cover my company's bank account?
