Dubai free zones: what the licence actually buys

A Dubai free zone licence buys three things that are easy to state: full foreign ownership, nothing to pay in customs duty on goods coming into the zone, and a decision in about fourteen working days. It does not buy the right to sell to the person standing in Deira. That sentence is the whole of the free-zone-versus-mainland question, and nearly every regret in this subject is a founder discovering it late.

Twenty-two zones, and they are not interchangeable

The UAE government's own directory of free zone authorities lists twenty-two in Dubai: Jebel Ali Free Zone, Dubai Airport Free Zone, DMCC, DIFC, Dubai Internet City, Dubai Media City, Dubai Production City, Dubai Studio City, Dubai Outsource City, Dubai Knowledge Park, Dubai International Academic City, Dubai Science Park, Dubai Design District, Dubai Silicon Oasis, Dubai HealthCare City, Dubai Humanitarian City, Dubai Maritime City, Dubai CommerCity, Gold and Diamond Park, National Industries Park, Dubai South and Meydan.

Each one is a separate authority with a separate register. A zone decides which activities it will licence, which company forms it will register, and what it charges. DMCC, which covers Jumeirah Lakes Towers and Uptown Dubai, runs activities from tea and coffee through gold, diamonds and coloured gemstones to energy, gaming, crypto and AI. A zone built for media will not licence a commodities trade, and no amount of arguing changes that — it is a different register.

The customs line is a place, not a status

Goods imported into a free zone carry 0% customs duty. Goods held in the zone for re-export carry none either. Duty becomes payable when the goods cross into the mainland market — the exemption attaches to where the goods physically are, not to who owns them. This is why zones sit next to ports and airports, and why the freedom to import, export and re-export through the UAE is the part of the arrangement that works exactly as advertised.

Where the zone licence stops

A free zone company is treated as outside mainland jurisdiction. It trades inside its zone and internationally without restriction, and its access to the mainland market is regulated. Selling locally means one of two things: a licensed mainland distributor, or a mainland branch or company of its own. Direct mainland sales without the mainland licence or approval are generally not permitted.

Dubai wrote its own rules over the top of the federal position in Executive Council Resolution No. 11 of 2025, on how free zone establishments may conduct activities within the emirate. Anyone whose plan depends on reaching mainland customers should read that before choosing the zone, not after.

The free zone corporate tax incentive is conditional, not automatic. It holds while the company complies with its zone's regulatory requirements and does not conduct business in the UAE mainland. Which legal forms can a free zone register?

A Free Zone Establishment, a Free Zone Company, a private limited liability company, a public joint stock company, or a branch of a local or international company. Not every zone registers every form, so the form is a question for the zone, not for the country.
